The Seller and Buyer are hereinafter collectively referred to as the “Parties.”

1. Subject of the Agreement

The Seller agrees to sell and transfer, and the Buyer agrees to purchase and take over, the following waste materials (“Waste”):

2. Classification and Legal Compliance

1. The Waste is classified according to the applicable environmental regulations, including:
   • EU Waste Framework Directive 2008/98/EC (if applicable)
   • Relevant national or cantonal waste regulations
2. Both Parties declare that they hold all licenses and authorizations required for the handling, storage, transport, and processing of the specified Waste.
3. The transfer of the Waste shall be accompanied by all mandatory consignment notes, waste identification forms, and transport documents as required by law.

3. Price and Payment Terms

4. Delivery and Transfer of Risk

5. Warranties and Representations

1. The Seller guarantees that the Waste corresponds to the declared description and classification.
2. The Seller declares that the Waste is free from prohibited or hazardous substances not indicated in the declaration.
3. The Buyer assumes full responsibility for any subsequent treatment, recycling, or disposal in compliance with applicable environmental laws.

6. Liability

Each Party shall be liable for damages arising from non-compliance with this Agreement or with applicable waste legislation.
Neither Party shall be liable for indirect or consequential losses unless caused by gross negligence or willful misconduct.

7. Documentation

Each shipment shall include:

• Waste identification form (or equivalent national form)
• Transport manifest / weighbridge ticket
• Delivery note and invoice
  All documents must reference the EWC code and contract number.

8. Duration and Termination

This Agreement enters into force on the signing date and remains valid until all deliveries are completed, or until terminated by either Party with 30 days’ written notice.

9. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of [insert country / canton / state].

10. Entire Agreement

This Agreement constitutes the entire understanding between the Parties and supersedes all prior communications, offers, or agreements relating to the sale of the Waste.
